Job Description
**Primary Responsibilities:** Commercial Contracts \& Transactions * Assist in drafting, reviewing, and revising standard commercial agreements, including non\-disclosure agreements (NDAs), vendor contracts, and service\-level agreements, under the guidance of senior attorneys. * Support contract lifecycle activities such as document tracking, version control, execution coordination, and recordkeeping. * Partner with internal teams (e.g., Sales and Procurement) to gather information and ensure contracts align with business needs while escalating complex issues as appropriate. Cross\-Functional Legal Support * Provide basic legal support to internal departments including Sales, HR, Finance, Procurement, and Operations. * Help translate legal concepts into clear, business\-friendly language with oversight from senior legal team members. * Serve as a point of contact for routine legal inquiries and direct more complex matters to senior counsel. Legal Research \& Advisory * Conduct legal research on a variety of topics, including regulatory requirements, contract terms, and corporate matters. * Summarize findings into clear, concise memos or briefings for review by senior attorneys. * Assist in tracking legal and regulatory updates and sharing relevant information with the Legal team. Compliance \& Risk Management * Support the development and maintenance of compliance materials, including policies, procedures, and training resources. * Assist in identifying potential legal risks and contribute to mitigation efforts through research and documentation. * Help monitor compliance with applicable laws and regulations, including data privacy and employment\-related requirements. Corporate \& Legal Operations * Assist with corporate governance activities, including preparing basic corporate documents and maintaining organized records. * Support legal operations through document management, template updates, and administrative tasks. * Contribute to process improvements by identifying opportunities to streamline workflows and enhance efficiency. * Stay informed on relevant legal developments and industry trends with guidance from senior team members. **Basic Qualifications:** * Juris Doctor (JD) from an accredited law school * Admission to the state bar (or pending admission) * Strong research, writing, and analytical skills * Excellent communication skills with the ability to simplify complex legal concepts * High attention to detail and strong organizational skills * Ability to manage multiple tasks and meet deadlines in a fast\-paced environment * Proficiency in Microsoft Office; familiarity with contract management systems is a plus **Preferred Qualifications:** * Internship, externship, or clinic experience in corporate or commercial law * Demonstrated interest in business law, contracts, or compliance
